Terms of Service for Dropkick Media, LLC

Please read these Terms of Service carefully before engaging with Dropkick Media, LLC for media services. This agreement sets forth the legally binding terms and conditions for our services.

1. Services

Dropkick Media, LLC agrees to provide the client with media services as detailed in a separate Statement of Work (SOW) or service agreement. Services may include, but are not limited to, Search Engine Optimization (SEO), Pay-Per-Click (PPC) advertising, social media marketing, and content marketing. The scope, timelines, and deliverables for each project will be explicitly defined in the SOW.

2. Client Obligations

The client agrees to provide Dropkick Media, LLC with all necessary access to information and digital assets required to perform the agreed-upon services. This may include access to website backends, hosting, social media accounts, and advertising platforms. The client is responsible for the accuracy and legality of all materials provided to Dropkick Media, LLC.

3. Payment Terms

Payment for services will be governed by the terms outlined in the SOW or invoice. Typically, services are billed on a monthly retainer basis, payable in advance. Late payments may result in a suspension of services and/or the accrual of late fees. All payments are non-refundable.

4. Timelines and Deliverables

Dropkick Media, LLC will make every effort to adhere to the project timelines outlined in the SOW. However, these timelines are estimates and may be subject to change due to unforeseen circumstances or delays in receiving client feedback or required materials. We are not liable for any delays caused by the client.

5. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary information shared during the course of the business relationship. This includes business strategies, client data, campaign performance metrics, and any other non-public information. This obligation of confidentiality extends beyond the termination of the service agreement.

6. Limitation of Liability

While Dropkick Media, LLC strives to deliver the best possible results, we do not guarantee specific outcomes or rankings. The media landscape is constantly changing, and performance can be affected by factors beyond our control. In no event shall Dropkick Media, LLC be liable for any lost profits, revenue, or indirect, consequential, or punitive damages arising out of our services.

7. Termination

Either party may terminate the service agreement with a written notice, typically 30 days in advance, as specified in the SOW. Upon termination, the client is responsible for all fees incurred up to the termination date. Dropkick Media, LLC will cooperate in the transfer of all relevant data and assets back to the client.

8. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the jurisdiction in which Dropkick Media, LLC is registered, without regard to its conflict of law provisions.
